CHSH advised Alpiq regarding its successful cross-border merger

CHSH Cerha Hempel Spiegelfeld Hlawati advised the Swiss energy trading group Alpiq regarding its corporate restructuring in Central Europe. The cross-border merger involved companies in Austria, the Czech Republic and Slovakia, including one Societas Europaea.

CHSH Cerha Hempel Spiegelfeld Hlawati advised the Swiss energy trading group Alpiq regarding its corporate restructuring in Central Europe. The cross-border merger involved companies in Austria, the Czech Republic and Slovakia, including one Societas Europaea.
The CHSH team in Austria, which had responsibility for the cross-border merger into ALPIQ ENERGY SE, consisted of Georg Konrad, Nora Aburumieh, Heinrich Foglar-Deinhardstein and Maria Doralt.

Nora Aburumieh, company law specialist at CHSH, puts the increase in such cross-border merger activity down to the following: “This new restructuring option represents one of the few accepted ways of relocating a company’s registered office to another country within the EU.” Heinrich Foglar-Deinhardstein believes that when combined with the effect of universal succession, that is to say, automatically transferring all contractual relationships to the acquiring company, such a transaction has enormous advantages.
