The law firms Hennerkes, Kirchdörfer & Lorz (Stuttgart) and CERHA HEMPEL (Vienna) successfully advised the German EJOT group on its incorporation of a European Company (societas europaea – SE). In this context, the company EJOT Verwaltungs-SE was newly established by way of a cross-border merger of an Austrian stock corporation into a German stock corporation belonging to EJOT’s corporate group. For this complex legal transaction not only the Austrian and the German legal provisions on cross-border mergers of companies but as well the national (Austrian and German) regulations on the formation of a European Company by way of a merger had to be complied with and were to be put into practice within a short period of time.
