CHSH Dezső & Partners acted as advisor to Air Liquide, the global leader in the production and sale of industrial, medical and biogases, in the sale of its Hungarian subsidiary to the Messer Group, its German competitor.
Air Liquide Hungary Ipari Gáztermelő Kft has been producing and selling oxygen and nitrogen and importing other industrial gases in Hungary since 1990. The gases produced by the company play an important role not only in various industrial sectors but also in health-care, environmental protection and life sciences.
CHSH Dezső & Partners provided legal advice to the Air Liquide Group on complex corporate law matters as well as a wide range of matters under competition law and intellectual property law, also taking into consideration the specific rules that apply to the industrial gas sector.
“We are proud that we had the opportunity to assist our client in this transaction, particularly in the light of the fact that the Hungarian Competition Authority carried out a Phase II procedure”, said Tamás Polauf, the leader of CHSH Dezső & Partners’ M&A and competition law team.
“We enjoyed assisting our client from the start of the business negotiations until the Hungarian exit, i.e. the sale of the target to the Messer Group”, noted László Krüpl, member of CHSH Dezső & Partners’ M&A and competition law team responsible for the coordination of the transaction.
In addition to Tamás Polauf and László Krüpl, the team that successfully assisted Air Liquide included attorneys Péter Szajlai and Márton Kocsis, and associate Zoltán Kolodzey.
