CHSH Cerha Hempel Spiegelfeld Hlawati has advised red-stars.com data AG in connection with the acquisition of shares in Machine & Voice Communication GmbH (MAVOCO), whose subsidiary Freeeway GmbH (Freeeway) – a virtual network operator – provides M2M connectivity services based on a portfolio of international wholesale agreements with network operators.
red-stars acquired 33% of the share capital and voting rights during the course of a capital increase of MAVOCO.
The transaction involved issues relating to corporate and IP law and was closed in May 2015.
MAVOCO is a virtual network operator specializing in M2M and IoT applications whose services are specifically aimed at companies which want their devices, machines or vehicles to be equipped with mobile communications.
Freeeway provides a range of products tailored to the needs of transport companies and truck drivers and allows roaming-free telecommunications and telematics in more than 40 European countries. Transport companies can make a saving of up to 60% on their communication costs.
Freeeway offers SIM cards with a variety of advantages. Services can be enabled individually, such as (vehicle) tracking and tracing, email, mobile internet, and so on. These SIM cards are also regarded as the most secure on the market. Furthermore, the transport company can perform administrative tasks itself via an easy-to-use cloud application.
Together with its partner red-stars.com data AG, MAVOCO would like to achieve a subscriber base of at least one million operational SIM cards within five years.
red-stars.com data AG was advised by Partner Dr. Albert Birkner and Associate Mag. Nadine Leitner (both of whom specialize in M&A).
