CERHA HEMPEL advises on European AI-Deal

CERHA HEMPEL advised the shareholders of the Austrian Semantic Web Company GmbH and the company itself on a highly complex cross-border transaction with the Bulgarian Ontotext AD.

CERHA HEMPEL advised the shareholders of the Austrian Semantic Web Company GmbH and the company itself on a highly complex cross-border transaction with the Bulgarian Ontotext AD.

This collaboration led to the formation of the new company “Graphwise” (www.graphwise.ai), which combines expertise in semantic technologies and knowledge management to strengthen Europe’s AI ecosystem. A key focus lies on reducing the so-called “hallucinations” of Large Language Models (LLMs).

Semantic Web Company GmbH (Vienna) is a leading software and consulting firm specializing in semantic technologies and knowledge management. Ontotext AD (Sofia) is regarded as a pioneer in semantic graph databases and knowledge-graph solutions. Together, the two companies aim to drive innovation and development in Europe.

“We are very pleased to have comprehensively supported our clients in this challenging transaction, which involved M&A, IP, and AI-related aspects. We take particular pride in our team’s extensive AI expertise, which significantly contributed to the success of this project,” says Mark Krenn, Partner at CERHA HEMPEL and Lead Counsel (M&A, IP).

“The collaboration between Semantic Web Company and Ontotext is a major step for the European AI sector. By merging resources and know-how, this partnership will bolster innovation and competitiveness across Europe. We are proud to have guided our clients through every legal aspect of this process,” adds Heinrich Foglar-Deinhardstein, Partner at CERHA HEMPEL (M&A and Corporate).

The CERHA HEMPEL advisory team included in Vienna Mark Krenn (M&A, IP), Heinrich Foglar-Deinhardstein (M&A, Corporate), Alina Alavi Kia (IP), Bernhard Lichtneger (M&A), and Lazar Georgiev (M&A), as well as in Sofia Boyko Gerginov (M&A) and Kalin Bonev (M&A).
