CERHA HEMPEL advises the shareholders of TSA on the sale of shares to Voith and PCS Holding

CERHA HEMPEL has advised the shareholders of Austrian firm Traktionssysteme Austria GmbH (TSA) on the sale of almost 60% of the shares in the company to the German technology group Voith and the Swiss holding company PCS Holding.

CERHA HEMPEL has advised the shareholders of Austrian firm Traktionssysteme Austria GmbH (TSA) on the sale of almost 60% of the shares in the company to the German technology group Voith and the Swiss holding company PCS Holding.

TSA is the world leading manufacturer of electric motors, generators and gearboxes for rail and road vehicles and is a competent partner for all questions related to asynchronous and permanent magnet drives.

CERHA HEMPEL has been advising the shareholders of TSA since their acquisition of the company in 2000. Lead Counsel for the seller, Johannes Aehrenthal, is pleased to have enabled the signing of this transaction within just a few weeks despite the extremely difficult environment for the negotiation of sale and purchase agreements owing to the official restrictions put in place as a result of the COVID-19 pandemic.

The transaction is, among other things, still subject to the approval of the competent competition authorities.
