CHSH advises Teufelberger in relation to the acquisition of Redaelli Tecna

CHSH has assisted Teufelberger Wirerope GmbH in the acquisition of Italian-based Redaelli Tecna S.p.A. from JSC Severstal – Metiz, a company owned by PAO Severstal, one of the world’s leading steel and steel-related mining group.

CHSH Cerha Hempel Spiegelfeld Hlawati Rechtsanwälte has assisted Teufelberger Wirerope GmbH, a leading international metal wire ropes producer based in Austria, in the acquisition of Italian-based Redaelli Tecna S.p.A., a global market leader in the design and manufacture of steel wire ropes for off-shore and on-shore oil activities, mining, cableways, material transportation and hoisting as well as in the development and production of engineering systems for the tenso structures, from JSC Severstal – Metiz, a company owned by PAO Severstal, one of the world’s leading steel and steel-related mining group. The Closing of the transaction is expected to take place in spring 2017.

CHSH has assisted the purchaser with a team lead by CHSH partner Clemens Hasenauer (transaction lead, corporate/M&A) and further consisting of Johannes Prinz (partner, corporate/tax), Harald Stingl (partner, corporate/M&A), Lorenz Pracht (attorney, corporate/M&A), Michael Mayer (attorney, antitrust), Ferdinand Guggenmos and Julia Berent (both associates, corporate/M&A), while purchaser was assisted in Italy by Ughi & Nunziante, with a team composed of Fiorella Alvino (partner), Michael Kirkham (partner), Afra Mantoni (partner), Claudia Casagrande (senior associate), Alida Brancato and Francesca Servadei (junior associates).

Freshfields Bruckhaus Deringer LLP has assisted the seller with a team operating in Moscow and Milan. The team in Moscow was composed of Dmitry Surikov (partner), Nikolay Seliakov (counsel), Maria Zaitseva (senior associate) and Dmitry Pozin (associate). The Italian team was composed of Nicola Asti (partner), Luca Sponziello (senior associate), Federico Borgogno (associate) and Giulio Palazzo (trainee) (all corporate), of Roberto Egori (counsel), and Mrs. Eugenia Severino (senior associate) (both tax) and of Mr. Giuliano Marzi (senior associate) (finance).
