CHSH advised Ferrexpo AG on the acquisition of DDSG

CHSH Cerha Hempel Spiegelfeld Hlawati advised Ferrexpo AG ("Ferrexpo") on the acquisition of Erste Donau-Dampfschiffahrts-Gesellschaft m.b.H ("DDSG").

CHSH Cerha Hempel Spiegelfeld Hlawati advised Ferrexpo AG ("Ferrexpo") on the acquisition of Erste Donau-Dampfschiffahrts-Gesellschaft m.b.H ("DDSG").
The acquisition was effected indirect through the acquisition of all shares of the holding company of DDSG, of Helogistics Holding GmbH ("Helogistics"). The cross-boarder transaction was successfully closed upon merger control clearance on 19 January 2011.

Ferrexpo is a Swiss stock company and wholly owned by Ferrexpo plc, a company listed on the main market of the London Stock Exchange. Ferrexpo plc is a resource company, principally involved in the production and export of iron ore pellets which are used in the manufacture of steel, with assets in Ukraine. Ferrexpo plc’s asset base is one of the largest iron ore resources in the world.

DDSG and its subsidiaries basically provide inland water freight transport services between the North Sea and the Black Sea on the Rhine, Main and Danube.

The transaction was legally conducted for Ferrexpo by Allen & Overy LLP, London, and CHSH Cerha Hempel Spiegelfeld Hlawati, Vienna. Beside the leading partners Philipp Wahl (Allen & Overy) and Albert Birkner (Cerha Hempel Spiegelfeld Hlawati) the attorney-team of Cerha Hempel Spiegelfeld Hlawati consisted of Johannes Buchinger, Stefan Gurmann, Elke Sagmeister and Christian Thaler.
